1. Acceptance of Terms
By accessing or using the Abilities Finance website at abilitiesfinance.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Site. These Terms constitute a legally binding agreement between you and Abilities Finance.
2. Important Disclaimers
Abilities Finance is NOT a registered investment advisor, securities broker, financial advisor, or financial planner. We are not registered with the Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator.
We do not provide investment advice, investment recommendations, or portfolio management services. We do not manage client assets. Any information on this Site is for informational purposes only and should not be construed as investment advice.
We borrow money from close friends and family members under promissory note agreements and use those funds to trade cryptocurrency markets. This is a private lending arrangement, not a securities offering.
3. Nature of the Business
Abilities Finance operates a private lending program where:
- We borrow money from close friends and family under legally binding promissory note agreements
- Borrowed funds are used to trade cryptocurrency markets
- Profits, when generated, are shared with lenders (80% to lenders, 20% to Abilities Finance)
- All trading decisions are made solely by Abilities Finance
- Lenders have no control over trading operations
4. Risk Disclosures
HIGH RISK: Lending to Abilities Finance involves substantial risk of loss. You should carefully consider the following risks before participating:
- Loss of Principal: You may lose some or all of the money you lend. We may be unable to repay your principal.
- Market Volatility: Cryptocurrency markets are extremely volatile and can experience rapid, significant price declines.
- No Insurance: Your loan is not FDIC insured, not protected by SIPC, and has no government backing.
- Unsecured Debt: Promissory notes are unsecured obligations with no collateral.
- Illiquidity: You may not be able to withdraw or transfer your funds before the maturity date.
- Regulatory Risk: Changes in laws or regulations may impact our ability to operate.
- No Guaranteed Returns: Past performance does not guarantee future results. There is no guarantee of any profit.
5. Eligibility
The lending opportunity described on this Site is currently available only to close friends and family members of the principals of Abilities Finance. You must be at least 18 years of age and have a pre-existing personal relationship with the company's principals to participate. This is not a public offering of securities.
6. Intellectual Property
All content on this Site, including text, graphics, logos, and design elements, is the property of Abilities Finance and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this Site without our prior written consent.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABILITIES FINANCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PARTICIPATION IN THE LENDING PROGRAM.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless Abilities Finance, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Site or participation in the lending program
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any misrepresentation made by you regarding your eligibility or relationship to the company
- Any third-party claims arising from your actions or omissions
9. Termination
We reserve the right to terminate or suspend your access to the Site at any time, with or without cause, and with or without notice. Upon termination:
- Your right to access and use the Site will immediately cease
- Any existing promissory note agreements will be governed by their own terms and will not be affected by termination of Site access
- Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7 (Limitation of Liability), 8 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution)
You may terminate your use of the Site at any time by discontinuing access. If you wish to terminate a promissory note agreement, the terms of that specific agreement will govern the termination process.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after any modifications constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
11. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wyoming.
13. Dispute Resolution
Any dispute arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Wyoming.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any promissory note agreements you may enter into, constitute the entire agreement between you and Abilities Finance regarding the use of the Site. These Terms supersede any prior agreements or understandings, whether written or oral.
